VENDOR CODE OF CONDUCT

Watania Farms Group Ltd. requires all approved and prospective vendors to comply with this Code of Conduct as a condition of doing business with us.

Recognition of Standards

Watania Farms Group Ltd. is committed to operating its business with integrity, transparency, and in full compliance with applicable laws. We expect all vendors, suppliers, and service providers engaged with our company to uphold equivalent standards.

Acknowledgment Requirement: All approved vendors must sign and return a copy of this Code of Conduct as part of the vendor onboarding process. Continued engagement constitutes acceptance of these requirements.

Scope

This Code applies to all vendors, contractors, service providers, and their sub-contractors engaged in any commercial relationship with Watania Farms Group Ltd., including supply of goods, services, logistics, professional services, and any other business activity.

Purpose

The purpose of this Code is to establish a clear set of expectations for ethical, legal, and responsible business conduct by all parties in our supply chain. We believe that a responsible supply chain is fundamental to our commitment to quality, safety, and long-term sustainability.

Compliance with Laws

Vendors must comply with all applicable local, national, and international laws and regulations, including those relating to employment, environmental protection, health and safety, trade, and taxation. Vendors must maintain all required business licences, permits, and registrations.

Environmental, Health & Safety (EHS)

Vendors are expected to manage their operations in a manner that protects the health and safety of their workers, communities, and the environment. This includes compliance with applicable EHS regulations, proper waste management, and minimisation of environmental impact.

Food Safety & Quality

Vendors supplying inputs, packaging, or services related to our food production must comply with applicable food safety standards. All goods supplied must meet agreed specifications and be free from contamination. Vendors must maintain traceability records for food-related inputs.

Ethical Business Conduct

Vendors must conduct their business with honesty and integrity. This includes accurate record-keeping, truthful representation of goods and services, and the avoidance of any practices that could mislead or deceive Watania Farms Group Ltd. or any third party.

Fair Dealings & Labour Practices

Vendors must not engage in forced labour, child labour, or any form of human trafficking. Workers must be employed under fair terms, with appropriate wages, safe working conditions, and freedom of association. Discrimination on the basis of gender, race, religion, nationality, disability or other protected characteristic is strictly prohibited.

Anti-Bribery & Anti-Corruption (Zero Tolerance)

Watania Farms Group Ltd. has a zero-tolerance policy for bribery and corruption. Vendors must not offer, promise, give, request, or accept any bribe, kickback, or corrupt payment ? whether in cash, gifts, or any other form ? to or from any employee, officer, or representative of Watania Farms Group Ltd. or any public official.

Gifts & Hospitality

Modest, transparent business gifts and hospitality that do not influence business decisions are permissible within reasonable cultural norms. Any gifts of value above KES 2,000 or equivalent must be disclosed to company management. Lavish entertainment, cash gifts, or personal benefits intended to influence procurement decisions are strictly prohibited.

Monitoring & Compliance

Watania Farms Group Ltd. reserves the right to request documentation, conduct audits, or visit vendor facilities to verify compliance with this Code. Vendors must cooperate fully with any compliance review. Non-compliance may result in termination of the vendor relationship.

Confidentiality

Vendors must treat all proprietary information, technical data, commercial terms, and business strategies shared by Watania Farms Group Ltd. as strictly confidential. This obligation survives the termination of any commercial relationship. Vendors must not disclose such information to third parties without prior written consent.

Application & Enforcement

This Code of Conduct takes effect from the date a vendor is approved and remains in force for the duration of the relationship. Violations of this Code may result in suspension, removal from the approved vendor register, and/or legal action as appropriate. Vendors are encouraged to report suspected violations in confidence to info@nationalfarmsgroup.com.
